Terms & Conditions

$50,000.00 Shed Contribution Promotion Agreement ("Agreement")

1. Promotion Overview
The $50,000.00 Shed Contribution Promotion (“Promotion”) is offered by TWBFJ MOOLAP Pty Ltd (ACN 654 854 592) (“Developer”) for eligible purchasers (“Purchasers”) of a lot within The Caledonia, Moolap Estate (“The Caledonia Estate”).

2. Promotion Period

  • The Promotion is valid from 10th April 2026 to 30th June 2026 (“Promotion Period”).
  • The Developer reserves the right to extend or shorten the Promotion Period at its discretion.

3. Eligibility

  • The Promotion is only available to Purchasers who:
    • have entered into a contract of sale (“Contract of Sale”) with the Developer for a lot (“Property”) within The Caledonia Estate during the Promotion Period;
    • are individuals, acquiring the Property for personal ownership and not for resale, development, land banking, bulk acquisition, or in the course of a business, and excludes any trustee, nominee, builder, developer or related entity unless otherwise approved by the Developer in writing (“Retail Purchasers”); and
    • are not, and have not been, in default under the Contract of Sale or this Agreement at any time.
  • The Promotion is not transferable or redeemable for cash or any other benefit. The Promotion is personal to the Purchaser and may not be assigned, transferred or nominated to any other person or entity without the Developer’s prior written consent.
  • The Promotion cannot be used in conjunction with any other offer unless otherwise agreed in writing by the Developer.

4. Shed

Contribution Approved Purchasers will receive a contribution of $50,000.00 (including GST) (“Contribution”), toward the construction of a shed on the Property, to be provided via one of the following options (at the purchaser’s election, as indicated by checking the box next to the relevant option):

Option A – Settlement Rebate

  • A rebate of $50,000.00 (including GST) will be adjusted in the Purchaser’s favour at settlement of the Property.
  • For the purposes of this Option A, the shed must be constructed on the Property in accordance with all applicable laws, permits, approvals and any design guidelines or estate requirements applicable to the Property.
  • DOC 1414035603.1 If a Purchaser does not construct such a shed on the Property within 2 years of settlement of the Property, the Purchaser must repay $50,000.00(including GST) to the Developer as a liquidated debt within 10 Business Days of written demand.
  • The Purchaser must, upon request by the Developer, provide such evidence as the Developer reasonably requires to verify compliance with this Option A, including permits, approvals, invoices, photographs and other supporting documents.

Option B – Supplier Payment

  • A contribution of up to $50,000.00 (including GST) towards the cost of constructing a shed on the Property on receipt of a valid tax invoice relating to the construction of the shed, to be paid directly to the Purchaser’s nominated shed provider (“Supplier”).
  • The Supplier will address a valid tax invoice for an amount not exceeding $50,000.00 (including GST) (“Invoice”) to:
    • Vendor: TWBFJ MOOLAP PTY LTD,
    • Address: Suite 137, 425 Smith Street, FITZROY
    • ACN: 654 854 592
    • ABN: 28 654 854 592
  • Upon receipt of an Invoice following settlement of the sale of the Property, the Developer will pay the Invoice within 10 Business Days of receipt of the Invoice.
  • The Developer is not required to make any payment under this Option B unless the Purchaser has always strictly complied with the Contract.
  • For the avoidance of doubt, the Developer is not required to pay the Invoice if:
    • the Invoice is received prior to settlement of the sale of the Property;
    • the Invoice is for an amount exceeding $50,000.00 (including GST);
    • the Invoice is otherwise invalid in accordance with this Agreement;
    • the Purchaser did not always strictly comply with the Contract; or
    • the Invoice does not relate solely to shed works for the Property.
  • Any costs concerning the construction of the shed not detailed in the Invoice will remain the sole responsibility of the Purchaser.
  • Payment by the Developer under this Option B does not constitute approval of the shed design or works, certification of the works, or acceptance of any liability in relation to the Supplier or the works.

5. Conditions

  • If the Contract of Sale is terminated, rescinded or does not proceed to settlement for any reason or the Purchaser does not strictly comply with the Contracat, the Purchaser forfeits all entitlement to the Promotion.
  • The Promotion cannot be exchanged for any other form of credit, discount, or incentive unless approved by the Developer.

6. Variation

  • The Developer may cancel, vary, suspend or withdraw this Promotion in respect of a Purchaser, or withdraw any eligible lot from the Promotion, at any time prior to the full execution of a Contract of Sale in respect of a Property between the Developer and that Purchaser.
  • Variations to the Promotion may include, but are not limited to, withdrawal of eligible lots or amendment of the Promotion details.

7. Taxes and Charges

  • Any duties, taxes, levies, or other charges payable as a consequence of receiving the Contribution are the sole responsibility of the purchaser.

8. Disputes

In the event of any dispute regarding eligibility or interpretation of this Agreement, the Developer may request such information as it reasonably requires to determine the matter. The Developer will determine eligibility and compliance with this Agreement acting reasonably and by reference to the terms of this Agreement. The Developer may refuse eligibility where the Purchaser does not satisfy the eligibility criteria, fails to provide requested information, or provides incomplete, inaccurate, false or misleading information.
